Item 2.02. Results of Operations and Financial Condition.
On February 13, 2024, American International Group, Inc. (the “Company”) issued a press release (the “Press Release”) reporting its results for the quarter and year ended December 31, 2023. A copy of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

The Company also announced in the Press Release that its Board of Directors has declared a cash dividend of $0.36 per share on its Common Stock, and a cash dividend of $365.625 per share on its Series A 5.85% Non-Cumulative Perpetual Preferred Stock, which is represented by depositary shares, each of which represents a 1/1,000th interest in a share of preferred stock, holders of which will receive $0.365625 per depositary share. A copy of the Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
