Item 7.01Regulation FD Disclosure.

 

As previously disclosed, on April 30, 2020, Ladder Capital Corp (the “Company”) issued to Beaverhead Capital, LLC (the “Koch affiliate”), an affiliate of Koch Real Estate Investments, LLC, a right to purchase (the “Purchase Right”) up to four million shares of the Company’s Class A common stock at a price of $8.00 per share.

 

On December 29, 2020, the Koch affiliate exercised the Purchase Right in full, resulting in the Company issuing four million shares and the Koch affiliate investing $32.0 million in the Company’s Class A common stock. The Company also issued a press release regarding the foregoing, a copy of which is furnished herewith as Exhibit 99.1.
