Explanatory Note
This Current Report on Form 8-K/A amends the Current Report on Form 8-K filed by FAT Brands Inc. (the “Company”) with the Securities and Exchange Commission on December 23, 2022 (the “Original 8-K”).
Item 5.07. Submission of Matters to a Vote of Security Holders
(d) As previously reported in the Original 8-K, the Company held its 2022 Annual Meeting of Stockholders on December 20, 2022. In light of the “say-on-frequency” vote of the stockholders of the Company (Proposal 5, discussed in Item 5.07 of the Original 8-K) with respect to the frequency of future advisory votes on executive compensation, the Board of Directors of the Company has determined that the Company will hold an advisory vote on executive compensation annually until the next required vote on the frequency of the stockholder advisory vote on executive compensation, which will occur no later than the Company’s annual meeting of stockholders in 2028.
