Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 1, 2021, the Compensation Committee of the Board of Directors of Spirit Airlines, Inc. (the “Company”) approved certain adjustments to the current and future compensation of Scott Haralson, the Company’s Senior Vice President and Chief Financial Officer. The changes include (i) effective July 1, 2021, an increase in base salary from $375,000 to $400,000 and an increase in annual short-term incentive target from 70% to 80% of base salary, (ii) effective January 1, 2022, an increase in the midpoint of the annual long-term incentive target range from $450,000 grant date value to $600,000 grant date value; and (iii) a time-based cash incentive award of $200,000 granted under the Company’s 2015 Incentive Award Plan, payable in April 2023. In implementing the foregoing compensation adjustments, the Company intends to comply fully with the terms and conditions of the Coronavirus Aid, Relief and Economic Security Act, as amended from time to time, and the Payroll Support Program thereunder.
