Ternium Convenes Postponed Annual and Extraordinary General Meetings of Shareholders

LUXEMBOURG / ACCESSWIRE / April 28, 2020 / Ternium S.A. (NYSE:TX) announced today that the company's board of directors has convened its postponed annual general meeting of shareholders to be held in Luxembourg on Friday, June 5, 2020, at 3:00 p.m. CET and that the postponed extraordinary general meeting of shareholders will be held immediately after the adjournment of the annual general meeting of shareholders. Each holder of Ternium ADSs as of May 1, 2020, shall be entitled to instruct The Bank of New York Mellon, the depositary bank, as to the exercise of the voting rights pertaining to the shares represented by such holder's ADSs.

In addition, given the uncertainty around the effects of the recession originated by COVID-19 on the industry, and on their impact on Ternium's results of operations, cash flows or financial condition in the medium term, Ternium's board of directors has decided to withdraw its previously-announced annual dividend proposal for fiscal year 2019.
