FINALISATION OF DISPOSAL AND DECLARATION OF A SPECIAL DISTRIBUTION OF 200 CENTS
PER SHARE


Shareholders are referred to the announcements released on the Securities Exchange News Service (“SENS”) on 30 September
2021, 30 November 2021 and 7 March 2022 respectively, regarding the divestment of EIE Group Proprietary Limited, the
holding company of enX’s Southern African materials handling business (“EIE Group”), for an aggregate consideration of
R700 million (the “Disposal”) as adjusted for leakage. On 15th December 2021, shareholders were advised that the enX board
was considering the possibility of paying out c. R272 million of the final consideration (150.00 cents per enX share) as a
distribution to enX shareholders.

Following these communications, shareholders are notified that all the suspensive conditions relating to the Disposal have
now been fulfilled or waived, the transaction is unconditional and cash Disposal proceeds of R676,2 million have been
received by the Company. Accordingly, after further consideration of the strong post Disposal liquidity position of the
Company the directors of enX have determined to increase the payment to shareholders and declare a special distribution of
200.00 cents per enX share (the “Distribution”). The Distribution will be implemented by way of a reduction of contributed
tax capital as defined in the Income Tax Act No. 58 of 1962 (as amended). Distributions from contributed tax capital which
are not dividends as defined do not attract withholding taxes in South Africa. Application has been made to the exchange
control division of the South African Reserve Bank for approval of the Distribution. Once received, the finalisation
information pertaining to the payment of the Distribution will be communicated to shareholders.
