EOH Holdings (JSE:EOH) News - Closing of the disposal of the Information Services Group EOH HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number 1998/014669/06) JSE share code: EOH ISIN: ZAE000071072 ("EOH" or "the Group") CLOSING OF THE DISPOSAL OF THE INFORMATION SERVICES GROUP Shareholders are referred to the previous announcements published in respect of the disposal by EOH Mthombo Proprietary Limited, a wholly-owned subsidiary of EOH, of 100% of the issued shares of Hoonar Tekwurks Consulting South Africa Proprietary Limited, Managed Integrity Evaluation Proprietary Limited, Xpert Decision Systems Proprietary Limited and Zenaptix Proprietary Limited (together "Information Services") to Bachique 842 Proprietary Limited ("the Transaction"). EOH is pleased to confirm that all suspensive conditions to the Transaction have been fulfilled and the Transaction was successfully concluded on Wednesday, 15 June 2022. EOH has received final cash proceeds amounting to R422 million (including R25 million in interest). As part of EOH’s deleveraging strategy, the proceeds from the Transaction (net of costs), amounting to R374 million have been used to reduce the Group’s R1.2 billion bridge facility repayable on 1 April 2023. Subsequent to the closing of Transaction, Group debt is currently R1.33 billion, comprising a R500 million three-year bullet facility and the remaining R833 million bridge facility, after the repayment of capital from the Information Services disposal proceeds.
