CHANGES TO THE COMPOSITION OF BOARD COMMITTEES


Following the recommendations of the Nominations Committee of the Group, the board of directors of
Octodec (the "Board") accepted the resignations of Messrs Gerard Kemp, Myron Pollack and Pieter Strydom
as members of the Nominations Committee and approved the appointment of Ms Maggie Mojapelo as a
member of this Committee, with effect from 29 October 2021.

Mr Kemp has indicated his intention to retire at the upcoming annual general meeting of the company.
Consequently, Mr Derek Cohen has been appointed the chairman of the Social, Ethics, Remuneration and
Transformation Committee with effect from the annual general meeting which is expected to be held on 4
February 2022. The Board thanks Messrs Kemp, Pollack and Strydom for their contributions as members of
the Nominations Committee and looks forward to Ms Mojapelo's participation in the Committee's important
work.

The Board Committees remain duly constituted.
