NOTICE OF AN ACQUISITION OF A BENEFICIAL INTEREST IN TRUWORTHS
SECURITIES
Truworths advises shareholders in terms of Section 122(3)(b) of the Companies
Act, (Act 71 of 2008), as amended (“Companies Act”) and paragraph 3.83(b) of the
Listings Requirements of the JSE Limited, that the company has received a
notification in terms of section 122(1) of the Companies Act that Ninety One SA
(Pty) Ltd (“Ninety One”) as investment manager on behalf of its clients, has
acquired a beneficial interest in the company’s securities (“the acquisition”).
Following the acquisition and the recent reduction in Truworths’ shares in issue
following a share repurchase and cancellation, Ninety One now holds 10.064% of
the issued ordinary shares of the company.
As required in terms of section 122(3)(a) of the Companies Act, Truworths has filed
the required notice with the Takeover Regulation Panel.
