CAUTIONARY ANNOUNCEMENT


Shareholders are advised that the Company has entered into an agreement with Daimler UK, a subsidiary of Mercedes
Benz AG, to dispose of its entire shareholding in YASA Limited (the "Transaction"). The Transaction is subject to a
number of conditions precedent, which are expected to be met over the course of the next few weeks. Once the
Transaction completes, further details of the terms of the Transaction will be published. The completion of the disposal
of the Company's interest in YASA may have a material effect on the price of the Company's securities. Accordingly,
shareholders are advised to continue to exercise caution when dealing in the Company's securities until a further
announcement is made.

The Transaction constitutes an undertaking in the ordinary course of business of Universal Partners and therefore does
not fall under the scope of Chapter 13 of the Listing Rules of the Stock Exchange of Mauritius Ltd ("SEM").

Universal Partners has its primary listing on the Official List of the SEM and a secondary listing on the Alternative
Exchange of the Johannesburg Stock Exchange.
