CHANGE IN FUNCTION OF A DIRECTOR
Following an evaluation of the Board composition and certain recommendations of the Company's
nomination and governance committee, the board of directors of Redefine (the "Board") resolved
to discontinue the lead independent non-executive director ("LID") function with effect from
12 May 2022. Should circumstances arise where the Chairperson of the board is conflicted on a
particular matter, the independent director who chairs the relevant committee holding the requisite
mandate for such matter would lead the Board.
Bridgitte Mathews will remain an independent non-executive director of the board and continue in
her role as chairperson of Redefine's remuneration committee and as a member of Redefine's audit
committee, social, ethics and transformation committee and nomination and governance committee.
