                                     ADDITIONAL SHAREHOLDER DEMAND


Shareholders are referred to the announcement published on SENS on 31 March 2022 (“31 March
Announcement”) in which they were advised that the Company had received an Additional Demand in terms of
section 61(3) of the Companies Act, read with clause 20.1.3 of the Company’s Memorandum of Incorporation
from a different group of shareholders who together hold Ascendis Health shares representing more than 10% of
the Company’s voting rights, to include resolutions to appoint Maki Modisakeng, Samuel Miller and Francois
Theron as independent non-executive directors of the Company in terms of article 26 of the Company’s
Memorandum of Incorporation. The capitalised terms used in this announcement bear the same meaning as
those defined in the 31 March Announcements.

Resolutions in respect of the Additional Demand were included in the Notice of Special General Meeting that was
distributed to shareholders on 31 March 2022.

Shareholders are hereby advised that the Additional Demand was received from Kefolile Health Investments
Proprietary Limited, and Nicolaas van der Westhuizen, who together hold Ascendis Health shares representing
more than 10% of the Company’s voting rights.
