WITHDRAWAL OF CAUTIONARY REGARDING PRESMED AUSTRALIA’S INVESTMENT IN
DEVOCLEA
Shareholders are referred to the detailed terms and cautionary announcements that were released
on SENS on 11 June 2021 and 20 August 2021, 4 October and 15 November 2021 and the update
announcements released on 30 June 2021 and 8 July 2021 regarding Presmed Australia Pty Limited’s
(“PMA”), acquisition of a 20% interest in the Devonport Eye Hospital (NWC) Pty Ltd (“Devonport Eye
Hospital”) and Clearvis Pty Ltd (“Clearvis”) (collectively “DEVOCLEA”), (the “Transaction”).
The additional Transaction consideration amount have now been determined based on the adjusted
EBITDA of DEVOCLEA for the year ended 30 June 2021, in the amount of AUD1 066 198
(approximately ZAR12 030 872).
Given that the additional Transaction consideration amount have been finalised, shareholders are
advised that caution is no longer required to be exercised by shareholders when dealing in the
company’s securities.
