DIRECTOR RETIRING BY ROTATION AND CHANGES TO THE COMMITTEES OF THE
BOARD OF DIRECTORS

In terms of paragraph 3.59 of the JSE Limited Listings Requirements
the Board of Directors (“the Board”) informs shareholders that Ms
NB Langa-Royds will not stand for re-election and will be retiring
by rotation at the Annual General Meeting of Mpact (“AGM”) to be
held on 2 June 2022 after having provided her services to the Board
since Mpact listed in 2011.

The Board would like to thank Ms Langa-Royds for her invaluable
contribution and wishes her well in her future endeavours.

Further to the retirement of Ms Langa-Royds, the following changes
have been made to the Board Committees:

  •   Mr PCS Luthuli, an independent non-executive director of the
      Board, has been appointed as the chair of the Remuneration
      Committee effective immediately after the AGM held on 2 June
      2022; and

  •   Ms M Makanjee, an independent non-executive director of the
      Board, has been appointed as the chair of the Social and Ethics
      Committee effective immediately after the AGM held on 2 June
      2022.
