CHANGES TO THE BOARD AND BOARD COMMITTEES
In compliance with paragraph 3.59 of the JSE Limited Listings
Requirements, shareholders are advised that Mr John Barton has
resigned as non-executive director, lead independent director,
chairman and member of the nominations committee, and as member of
the remuneration committee, audit committee and risk and
sustainability committee, all with effect from 16 February 2022.
The board has made the following changes to the functions of the
directors and the composition of the board committees with
immediate effect:
1. Hennie van der Merwe, currently an independent non-executive
director, has been appointed as the lead independent non-
executive director and chairman of the nominations committee;
2. Mamokete Ramathe, currently an independent non-executive
director, has been appointed as a member of the nominations
committee; and
3. Rajendran Naidu, currently an independent non-executive
director, has been appointed as a member of the remuneration
committee.
The Company takes this opportunity to express its appreciation to
Mr Barton for his significant contribution and his commitment and
service to the Company over the years.
