CLARIFICATION ANNOUNCEMENT: WITHDRAWAL OF CAUTIONARY IN THE FIRM INTENTION ANNOUNCEMENT


1.   Introduction

Shareholders of Bell Equipment are referred to the firm intention announcement release on SENS on Friday, 22 October
2021 (“FIA”), wherein it was advised that Bell Equipment and IA Bell and Company Proprietary Limited entered into an
implementation agreement (“Implementation Agreement”) on Wednesday, 6 October 2021 (“Signature Date”), as
amended in terms of the addenda entered into, the last of which was signed on Friday, 15 October 2021.

2.   Withdrawal of Cautionary Announcement

Shareholders are referred to paragraph 17.1 of the FIA regarding the withdrawal of the cautionary announcement and are
hereby advised that the cautionary was last renewed on Monday, 18 October 2021 and not Monday, 30 August 2021, as
erroneously stated.

In terms of the Listings Requirements of the JSE Limited (“JSE”), the cautionary was due for renewal on Tuesday, 12
October 2021. However, given the Signature Date of the Implementation Agreement and that the FIA was in the process
of being finalised, the Company requested an extension of this renewal date, to Monday, 18 October 2021, which
extension was granted by the JSE.

3.   Bell Equipment Board Responsibility Statement

The board of directors of Bell Equipment accepts responsibility for the information contained in this announcement and
