NOTIFICATION OF THE VOTING RESULTS IN RESPECT OF THE REQUEST FOR WRITTEN CONSENT FROM FRC428 NOTEHOLDERS
FRC428 noteholders are referred to the notice of request for written consent released on SENS on 10 January 2023, in relation to the proposed amendments to the
FRC428 pricing supplement (the consent request), with the deadline date being 17h00 on Tuesday, 7 February 2023 and in which the extraordinary resolution set out
below was proposed:
- Extraordinary resolution:
THAT the terms and conditions of the FRC428 notes be amended in accordance with Schedule 1 to the notice requesting the written consent of FRC428 noteholders with
effect from the date on which the Issuer receives confirmation that noteholders holding not less than 66.67% in value of the aggregate outstanding nominal amount of the
FRC428 notes have voted in favour of the proposed amendments.
In this regard, the Issuer confirms the voting results from the consent request in relation to the total nominal amount of the FRC428 notes in issue are as follows:
