The Board confirmed, as contemplated in section 45 of the Companies Act, that, after considering the reasonably foreseeable financial circumstances of the Company, it was (i) satisfied that, immediately after providing such Financial Assistance, the Company would satisfy the solvency and liquidity test, as contemplated in section 4 of the Companies Act, and (ii) that the terms under which such assistance was proposed to be given were fair and reasonable to the Company. 13 February 2023 Johannesburg Sponsor One Capital
