CHANGES TO BOARD COMMITTEES

Further to the SENS announcement dated 7 December 2022 wherein shareholders were
advised of the appointment of Mr Rudolf Fourie as the permanent Board Chairman, the
appointment of Ms Setshego Bogatsu as the Lead Independent Director of the Board and the
appointment of Ms Nosisa Fubu as a new Independent Non-Executive Director of the Board,
all of which appointments were effective 6 December 2022, and in accordance with
paragraph 3.59(c) of the JSE Listings Requirements, shareholders are now advised of the
following changes to the Board Committees with effect from 24 February 2023 –

Audit Committee
• Ms Nosisa Fubu is appointed as a member of the Audit Committee, subject to approval by
  shareholders of the Company at the next Annual General Meeting.
• Following above, the Audit Committee members will be as follows –
  o Les Maxwell (Chairman)
  o Bryan Kent (Member)
  o Setshego Bogatsu (Member)
  o Nosisa Fubu (Member)

Risk Committee
• Ms Setshego Bogatsu resigned as a member of the Risk Committee.
• Ms Nosisa Fubu is appointed as a member of the Risk Committee.
• Following implementation of above, the Risk Committee members will be as follows –
   o Bryan Kent (Chairman)
   o Robert Shedlock (Member)
   o Felicia Msiza (Member)
   o Les Maxwell (Member)
   o Nosisa Fubu (Member)

Remuneration and Nomination Committee
• Mr Rudolf Fourie is appointed as a member of the Remuneration and Nomination
  Committee.
• Following above, the Remuneration and Nomination Committee members will be as
  follows –
  o Les Maxwell (Chairman)
  o Bryan Kent (Member)
  o Setshego Bogatsu (Member)
  o Rudolf Fourie (Member)

Social and Ethics Committee
• Mr Les Maxwell resigns as a member of the Social and Ethics Committee.
• Ms Nosisa Fubu is appointed as a member of the Social and Ethics Committee.
• Following above, the Social and Ethics Committee members will be as follows –
  o Setshego Bogatsu (Chairperson)
  o Charl van Schalkwyk (Member)
  o Nosisa Fubu (Member)
