APPOINTMENT OF CHAIRPERSON OF THE BOARD AND CHANGES TO BOARD COMMITTEES
In accordance with paragraph 3.59 of the Listings Requirements of the JSE Limited and paragraph 6.39 of the Debt Listings
Requirements, Telkom is pleased to announce the appointment of Mr Mvuleni Geoffrey Qhena as an independent Non-
Executive Director with effect from 27 March 2023 and Chairperson of the Board of Directors (“the Board”) with effect from
01 April 2023. The appointment, made in compliance with Telkom’s nomination process, follows Telkom’s announcement
on 23 November 2022 that Mr Sello Moloko will step down as independent Non-Executive Director and Chairperson by no
later than 31 March 2023.
Mr Qhena is former Chief Executive Officer of the Industrial Development Corporation (“IDC”) of South Africa. During his
tenure, he grew the IDC’s asset base from R31bn in 2004 to R137bn in 2018. Mr Qhena has experience serving as a Non-
Executive Director and Chairperson on Boards of listed and unlisted companies. He currently serves on the Boards of
Investec Bank Limited and Exxaro Resources Limited as a Non-Executive Director and Chairperson respectively.
Mr Qhena holds an Honours Degree in Accounting Science and is accredited as a Chartered Accountant (South Africa)
with SAICA.
As part of Mr Qhena’s appointment as Telkom’s Chairperson, he will chair the Group’s Nominations Committee and will
be a member of the Remuneration Committee.

The Telkom Board extends its gratitude to the outgoing Chairperson, Mr Moloko, who effectively managed the
