FINALISATION ANNOUNCEMENT IN RESPECT OF THE DISTRIBUTION FOR THE SIX
MONTHS ENDED 31 DECEMBER 2022



Lighthouse shareholders are referred to the declaration announcement released on SENS on Wednesday,
22 March 2023 and the circular (“Circular”) distributed to shareholders in respect of a scrip distribution of
1.62500 EUR cents per share (“Scrip Distribution”), with an alternative cash distribution option of 1.46250
EUR cents per share (“Cash Distribution”).
Shareholders are advised as follows:
    1. The scrip distribution reference price is ZAR 630.00000 cents per share, being the closing spot price of
       Lighthouse shares traded on the JSE at 30 March 2023, converted from EUR at an exchange rate of
       ZAR19.44620:EUR1.00 (determined as the closing foreign exchange rate on Thursday, 30 March 2023).
    2. Accordingly, shareholders receiving the Scrip Distribution will be entitled to 5.01588 new Lighthouse
       shares for every 100 Lighthouse shares held on the record date, being Friday, 14 April 2023, representing
       the ratio that the Scrip Distribution bears to the scrip distribution reference price.
    3. Shareholders on the South African register who elect to receive the Cash Distribution will receive their
       cash distribution in South African Rands, converted from Euro at an exchange rate of
       ZAR19.44620:EUR1.00. Accordingly, the gross Cash Distribution of 1.46250 EUR cents per share will
       be equal to 28.44007 ZAR cents per share for shareholders on the South African register who are exempt
       from paying foreign dividends tax. The net Cash Distribution amount is 22.75206 ZAR cents per share
       for South African shareholders liable for foreign dividends tax at a rate of 20%.
Shareholders are referred to the tax implications as set out in the Circular and the distribution declaration
announcement released on Wednesday, 22 March 2023.
The salient dates and times announcement on Wednesday, 22 March 2023 remain unchanged.
As at the date of this announcement, Lighthouse has 1 698 644 096 shares in issue. Should all shareholders
receive the Scrip Distribution, a maximum number of 85 201 949 new Lighthouse shares would be issued. If all
shareholders were to elect to receive the Cash Distribution, the total value of the distribution will amount to
EUR 24 842 670.
The allocation of new Lighthouse shares will be such that shareholders receiving the Scrip Distribution will not
be allocated a fraction of a new Lighthouse share. Any entitlement to receive a fraction of a new Lighthouse
share will be rounded down to the nearest whole number and the value of the fraction will be paid to
shareholders, to be announced on Thursday, 13 April 2023.
