AVAILABILITY OF THE GUARANTOR’S ANNUAL FINANCIAL STATEMENTS FOR THE YEAR ENDED
31 DECEMBER 2022

Further to the announcement released on 18 April 2023 on the availability of Exxaro’s Annual
Integrated Report, Annual Financial Statements and No Change Statement, noteholders are
advised that the audited annual financial statements of each of the guarantors (Exxaro Coal
Proprietary Limited and Exxaro Coal Mpumalanga Proprietary Limited) to the Exxaro Resources
Limited R5bn Domestic Medium Term Note (DMTN) Programme are available for inspection at
the specified office of the issuer, at no charge, during office hours on business days.

In accordance with paragraph 8.7 of the terms and conditions of the DMTN Programme, the
Issuer has considered the Guarantee Ratio (as defined therein) after the financial year end and
satisfied itself that it is greater than 70% and is still compliant with the Guarantee Ratio.
