ROYAL BAFOKENG PLATINUM LIMITED (Incorporated in the Republic of South Africa) (Registration number: 2008/015696/06) JSE share code: RBP ISIN: ZAE000149936 (“RBPlat” or the “Company”) ISSUANCE OF COMPLIANCE CERTIFICATE IN RELATION TO THE MANDATORY OFFER Shareholders of RBPlat are referred to the SENS announcement released by Impala Platinum Holdings Limited (“Implats”) on 29 June 2023 (the “Implats Announcement”) in relation to the mandatory offer by Implats to RBPlat shareholders (the “Mandatory Offer”), the terms of which are set out in the Implats offer circular posted on Monday, 17 January 2022 (the “Offer Circular”). As stated in the Implats Announcement, the Takeover Regulation Panel has granted Implats a Compliance Certificate in terms of section 121(b) of the Companies Act, 2008 read with regulation 102(13) of the Companies Regulations, 2011. This is one of the two Conditions Precedent (as defined in the Offer Circular) that remain outstanding to declare the Mandatory Offer unconditional, the other one being JSE approval for listing the Offer Consideration Shares (as defined in the Offer Circular), which Implats will now re-apply for. Once Implats has received the JSE approval referred to above, the Mandatory Offer will become wholly unconditional and Implats will make a further announcement setting out the important dates and times relating to the closing of the Mandatory Offer.
