STEINHOFF INVESTMENT HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number: 1954/001893/06) JSE Code: SHFF ISIN: ZAE000068367 (“the Company”) NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND SECTION 3.83(b) OF THE JSE LISTINGS REQUIREMENTS In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 (“the Act”), and section 3.83(b) of the JSE Listings Requirements, holders of ordinary shares in the Company are advised that: Initially Steinhoff Topco B.V. (“Steinhoff Topco”) acquired ordinary shares in the Company, such that its beneficial interests in the Company amounted to 100% of the total number of ordinary shares in issue. Subsequently, Steinhoff RSA Holdco Limited (“RSA Holdco”) acquired ordinary shares in the Company from Steinhoff Topco, such that its beneficial interests in the Company now amounts to 100% of the total number of ordinary shares in issue. The Company hereby confirms that it has received the required notices from Steinhoff Topco and RSA Holdco in terms of section 122(1)(a) of the Act. As required in terms of section 122(3)(a) of the Act, the Company will file the required notices with the Takeover Regulation Panel.
