METAIR INVESTMENTS LIMITED (Incorporated in the Republic of South Africa) Registration number: 1948/031013/06 ISIN: ZAE000090692 JSE and A2X share code: MTA (“Metair” or the “Company”) NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT Notice is hereby given that, pursuant to the authority granted to the board of directors of the Company (“Board”) at the annual general meeting of the Company held on Thursday, 4 May 2023, the Board adopted a resolution on Monday, 10 July 2023 to provide financial assistance by way of a limited financial guarantee over a general banking facility extended to Hesto Harnesses Proprietary Limited, an associate investment of Metair (“Financial Assistance”), as contemplated in section 45(2) of the Companies Act, No. 71 of 2008 (“Companies Act”). The Board confirmed, as contemplated in section 45 of the Companies Act, that, after considering the reasonably foreseeable financial circumstances of the Company, it was (i) satisfied that, immediately after providing such Financial Assistance, the Company would satisfy the solvency and liquidity test, as contemplated in section 4 of the Companies Act, and (ii) that the terms under which such assistance was proposed to be given were fair and reasonable to the Company. 19 July 2023 Johannesburg Sponsor One Capital
