NO CHANGE STATEMENT, PUBLICATION OF ANNUAL FINANCIAL STATEMENTS, INTEGRATED
REPORT, NOTICE OF AGM AND B-BBEE ANNUAL COMPLIANCE REPORT

PUBLICATION AND DISTRIBUTION
Tsogo Sun shareholders are advised that the following items have been published and are available on the
Company’s website at https://www.tsogosun.com/investors/:
-   the audited annual financial statements of the Company for the year ended 31 March 2023 (“Company
    AFS”). The Company AFS were audited by PriceWaterhouseCoopers Inc and the audit report relating to
    the Company AFS is unqualified;
-   the audited consolidated annual financial statements for the year ended 31 March 2023 (“Consolidated
    AFS”). The Consolidated AFS were audited by PriceWaterhouseCoopers Inc and the audit report relating
    to the Consolidated AFS is unqualified;
-   the integrated annual report of the Company in respect of the year ended 31 March 2023 (“IAR”); and
-   the notice of annual general meeting of the Company, incorporating the Company’s summarised audited
    consolidated annual financial statements for the year ended 31 March 2023 (“Notice of AGM”).
The Notice of AGM will be distributed to those Tsogo Sun shareholders who have not elected to receive
electronic communications.
The Company AFS, Consolidated AFS, IAR and Notice of AGM are available for inspection by shareholders
at Tsogo Sun’s registered office at Palazzo Towers East, Montecasino Boulevard, Fourways, 2055.

NO CHANGE STATEMENT
The Consolidated AFS contain no modifications to the financial information or auditor’s report which were
published on the Stock Exchange News Service on 25 May 2023.

NOTICE OF AGM
Notice is hereby given to Tsogo Sun shareholders that the annual general meeting of the Company (“AGM”)
will be held in the main boardroom of Hosken Consolidated Investments Limited at Suite 801, 76 Regent
Road, Sea Point, Cape Town 8005 at 13:00 (South African Standard Time) on Tuesday, 29 August 2023, to
transact the business as stated in the Notice of AGM.

RECORD DATES
The record date for the purpose of determining the Tsogo Sun shareholders entitled to receive the Notice of
AGM was Friday, 21 July 2023, and to participate and vote at the AGM is Friday, 18 August 2023. The last
date to trade in order to be recorded as a shareholder in Tsogo Sun’s register to be able to participate and
vote at the AGM is Tuesday, 15 August 2023.

B-BBEE ANNUAL COMPLIANCE REPORT
In accordance with paragraph 16.21(g) and Appendix 1 to Section 11 of the JSE Listings Requirements,
shareholders are advised that Tsogo Sun’s 2023 B-BBEE Certificate and Annual Compliance Report prepared
pursuant to section 13G(2) of the Broad-Based Black Economic Empowerment Amendment Act No 46 of
2013 are available on the Company’s website at https://www.tsogosun.com/investors/.
