DISPOSAL OF SHARES IN HAMMERSON PLC


Shareholders and noteholders are advised that as at 11 August 2023, Resilient had disposed of 162 431 649 shares in
Hammerson plc (“Hammerson”) for an aggregate consideration of R982,2 million (the “disposals”).

Hammerson is a UK-based REIT that owns, manages and develops retail centres in the UK, Ireland and France.
Hammerson is listed on the Main Market of the LSE and has a secondary listing on the JSE Limited (“JSE”).

Although Hammerson’s results were well received by the market, the Board’s priority remains focussed on
Resilient’s energy initiatives and funding its capital commitments while retaining conservative leverage.

The following profitability metrics are attributable to Hammerson for the six months ended 30 June 2023:

The disposals, when aggregated, are classified as a category 2 transaction in terms of the JSE Listings Requirements
