RESULTS OF ANNUAL GENERAL MEETING


Shareholders are advised that at the annual general meeting of shareholders held on Tuesday, 3 October 2023 (in terms
of the notice dispatched on 31 August 2023), all of the resolutions tabled thereat were passed by the requisite majority
of Ellies’ shareholders.

Details of the voting results at the annual general meeting are as follows:
- total number of Ellies share in issue as at the date of the annual general meeting: 805 400 305
- total number of Ellies shares that were present/represented at the annual general meeting: 315 932 209 being 39.23%
  of the total number of Ellies shares that could have been voted at the annual general meeting.
