CHANGE TO THE BOARD OF DIRECTORS

In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders are advised that Ms Buyelwa Sonjica will retire as an
independent non-executive director on 31 December 2023 after having served on the Kumba Board for just over 11 years. During her tenure she served
as the chairperson of the Social, Ethics and Transformation Committee, member of the Safety, Health and Sustainable Development Committee and the
Nominations and Governance Committee.

The Board has commenced the process to identify and appoint an independent non-executive director to replace Ms Sonjica.

Kumba Chairperson, Mr Terence Goodlace, said: “I sincerely thank Buyelwa for her dedication and commitment in discharging her duties as independent
non-executive director and chairperson of the Social, Ethics and Transformation Committee. On behalf of Kumba, I wish Buyelwa the very best going
forward.”

Mrs Mary Bomela will be appointed as a member of the Social, Ethics and Transformation Committee and will assume the role of interim Chairperson of
the Committee.
