PEPKOR HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number: 2017/221869/06) Share Code: PPH Debt Code: PPHI ISIN: ZAE000259479 LEI: 3789006D677C34F69875 (“Pepkor” or the “Company”) APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND CHANGES TO PEPKOR BOARD COMMITTEES In accordance with paragraphs 3.59(a) and 6.39(a) of the JSE Limited (“JSE”) Listings Requirements and Debt Listings Requirements, respectively, the board of directors of the Company (“Board”) wishes to advise shareholders and noteholders that Ms Nunu Rosemary Ntshingila (“Nunu”) has been appointed as an independent non-executive director to the Board of Pepkor and as a member of the human resources and remuneration committee, with immediate effect. Nunu holds an undergraduate degree from University of Swaziland and an MBA degree from Morgan State University, Baltimore, Maryland. She has extensive experience in marketing, strategy and advertising, having served in a number of business leadership roles, including that of Facebook‘s Regional Director for Africa, Group CEO of Ogilvy & Mather South Africa and Chairperson of Ogilvy & Mather. Nunu has also served as a director of, inter alia, Transnet, Old Mutual, Telkom, Ogilvy Global and Ivanhoe Mines. The appointment was made with the objectives of enhancing the skill set of the Board as well as to strengthen the independence and diversity of the Board. The Company confirms that the appointment was made in accordance with the Board nomination policy. The Board welcomes Nunu and looks forward to her contribution. The Board also deems it appropriate to reduce the number of directors serving on the investment committee. Ms Hester Hickey (“Hester”) therefore steps down as a member of the investment committee with immediate effect. Hester will continue to serve as Chair of the Audit and Risk Committee.
