  PUBLICATION OF AMENDED BUSINESS RESCUE PLANS OF TONGAAT HULETT,
                 TONGAAT HULETT SUGAR AND VOERMOL


Shareholders are hereby advised that the amended business rescue plans for the Company
as well as two of its wholly owned subsidiaries, Tongaat Hulett Sugar South Africa (Pty)
Limited (“Tongaat Hulett Sugar”) and Voermol Feeds (Pty) Limited (“Voermol”) were
published on 29 November 2023.

Copies of these business rescue plans and the relevant notices to affected persons are
available on the Company’s website at www.tongaat.com/business-rescue.

Meetings of affected persons to consider and vote on the aforementioned business rescue
plans will be held as follows:

   •   Tongaat Hulett – will be held on 8 December 2023 at 08H00;
   •   Tongaat Hulett Sugar – will be held on 8 December 2023 at 10H00; and
   •   Voermol – will be held on 8 December 2023 at 11H00.

The business rescue practitioners will convene the meetings virtually, each as a Microsoft
Teams Live Event. Details of the virtual meetings are contained in the relevant notices.

As the Company’s business rescue plans do not contemplate the alteration of rights
associated with the Company’s shares, shareholders will not be required or entitled to vote on
the business rescue plans in terms of sections 146(d) and 152(3)(c) of the Companies Act 71
of 2008 (as amended).
