NOTICE TO AFFECTED PERSONS OF TONGAAT HULETT LIMITED
Shareholders are referred to the SENS released on 6 December 2023 whereby shareholders were
advised of the judgement made and the two urgent applications to the High Court of South Africa,
KwaZulu Natal Local Division, Durban (the “Court”) (the “Urgent Applications”). Shareholders were
further advised on 7 December 2023 that the Company has opposed both of the Urgent Applications
and the 151 Meeting has been adjourned to 14 December 2023.
In accordance with section 128 of the Act, as amended, (“the Act”), read together with sections
144(3)(a), 145(1)(a) and 146(a) of the Act, Affected Persons have been advised in a further Notice
("the Notice") issued on 8 December 2023 that RGS Group Holdings Limited, the Industrial
Development Corporation of South Africa Limited, and Vision Investments 155 (Proprietary) Limited in
their capacity as “affected persons” in the business rescue proceedings of the Company, have given
notice of their intention to oppose the Urgent Applications launched on 5 December 2023.
