  URGENT NOTICE TO AFFECTED PERSONS OF TONGAAT HULETT LIMITED AND
                 FURTHER CAUTIONARY ANNOUNCEMENT


Affected Persons are hereby notified that the RGS Transactions Business Rescue Plan has
been withdrawn in its totality by the Board of Directors of RGS Group Holdings Limited (“RGS”)
and will accordingly no longer be participating in the capacity of proposer in the 151 Meeting.

Accordingly, the 151 Meeting will proceed on 10 January 2024 on the basis that only the Vision
Transactions Business Rescue Plan will be considered.

Given the above circumstances, the agenda circulated on 30 December 2023 will continue to
apply mutatis mutandis, on the basis however that every reference made to RGS and/or the
RGS Transactions Business Rescue Plan will no longer apply and will be deemed deleted.

If any Affected Person has submitted a proxy and, in light of the above circumstances, wishes
to withdraw and/or change that proxy, such Affected Person may do so by completing the new
proxy form (available on the Company’s website at: www.tongaat.com under the ‘Business
Rescue’ tab) and submitting it as previously notified. However, in view of the late notice herein,
proxies will be accepted by hand or email up until the commencement of the vote in question.

Affected Persons are reminded that all documentation (including the new proxy form),
information and notifications relevant to the business rescue proceedings of the Company, are
available for review and/or download on the Tongaat website at: www.tongaat.com under the
‘Business Rescue’ tab.

Shareholders are referred to the Section 151 Notice to Affected Persons circulated on
30 December 2023 as well as the two emails dated 2 January 2024 containing the
amendments to be proposed at the 151 Meeting on Wednesday, 10 January 2024. Within the
last 24 hours during pre-meeting testing, it was discovered that Microsoft Teams Live event
functionality is experiencing technical difficulties. Accordingly, please find below the new
meeting link utilising the Zoom platform (also available on the Company’s website at:
www.tongaat.com under the ‘Business Rescue’ tab) to be used for the 151 Meeting on
Wednesday, 10 January 2024, starting at 08:00:

FURTHER CAUTIONARY ANNOUNCEMENT

Shareholders are further referred to the previous cautionary and renewal of cautionary
announcements, the last of which was released on SENS on 23 November 2023. Tongaat
Hulett’s shares remain suspended on the JSE, and shareholders are advised to continue to
exercise caution in relation to the Company’s securities until a further announcement is made.
