RETIREMENT OF NON-EXECUTIVE DIRECTOR


In compliance with paragraphs 3.59 of the JSE Limited (“JSE”) Listings Requirements and
6.39 of the JSE Debt Listings Requirements, Pepkor shareholders and noteholders are
hereby advised that Mr Theodore de Klerk (“Theodore”) will retire from the board and
consequently from the investment committee at the company’s Annual General Meeting on
7 March 2024 (the “AGM”).

In terms of the company’s Memorandum of Incorporation, Theodore is due to retire from the
Pepkor board by rotation at the AGM.

Pepkor appreciates Theodore’s invaluable contribution over the years and wishes him well in
his future endeavours.
