CHANGE IN SUBSTANTIAL SHAREHOLDINGS


Renergen is pleased to announce Mr Ye Jia as the Company’s newest substantial
shareholder, following his acquisition of the entire shareholding from Notable Pioneer. The
disposal and acquisition is part of a strategic restructuring of the Ye family’s entire investment
portfolio wherein Notable Pioneer, solely owned by Mr Ye Hui, has transferred 100% of its
holding directly to another family member.

“We have been following Renergen’s progress and can confirm that despite the current share
price performance, we are pleased with the results achieved by the Company especially
considering the highly technical and complex operating environment. We continue to share
the long-term strategic vision of management through the Phase 2 expansion of the Virginia
Gas Project. This first investment marks my intention to remain a long-term shareholder, and
in time, I will consider increasing my stake as the Company further progresses its strategy,”
said Mr Ye Jia.

In accordance with the Deed of Undertaking entered into between the Company and ASX,
and section 122(3)(b) of the Companies Act, No. 71 of 2008, as amended (“Companies Act”),
and paragraph 3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby
advised that the Company has received formal notification in the prescribed form from Mr Ye
Jia, advising that he has acquired a beneficial interest in securities of the Company, such that
the total of all beneficial interests held by him amounts to 5.69% of the Company’s total issued
ordinary share capital. In addition, the Company received formal notification in the prescribed
form from Notable Pioneer Limited, advising that it has disposed of all of its beneficial interest
in securities of the Company.

The requisite notices in terms of section 122(3)(a) of the Companies Act have been filed with
the Takeover Regulation Panel. The board of the Company accepts responsibility for the
information contained in this announcement and confirms that, to the best of its knowledge
and belief, such information accurately reflects the information contained in the TRP 121.1
forms received by the Company from Notable Pioneer Limited and Mr Jia.
