FINALISATION ANNOUNCEMENT IN RESPECT OF THE SPECIAL DIVIDEND

Exxaro shareholders (shareholders) are referred to the announcement published on the JSE Limited’s Stock
Exchange News Services (SENS) on Thursday, 14 March 2024, advising shareholders that the board of directors
of Exxaro had approved and declared a special dividend of 572 cents per share (Declaration Announcement),
which was subject to the required South African Reserve Bank (SARB) approval being obtained for the declaration
of the special dividend.

The Company is pleased to announce that the required SARB approval for the declaration of the special dividend
has been obtained and that the condition has therefore been fulfilled.

The salient dates applicable to the special dividend are as follows:

Last day to trade cum dividend on the JSE                                   Tuesday, 7 May 2024
First trading day ex dividend on the JSE                                  Wednesday, 8 May 2024
Record date                                                                  Friday, 10 May 2024
Payment date                                                               Monday, 13 May 2024

No share certificates may be dematerialised or re-materialised between Wednesday, 8 May 2024 and Friday,
10 May 2024, both days inclusive.

The number of ordinary shares in issue as at the date of the declaration was and remains 349 305 092. Exxaro’s
company tax reference number is 9218/098/14/4.

All other relevant information relating to the special dividend (including tax implications), as set out in the
Declaration Announcement, remain unchanged.
