MUTUAL’S PROPOSED BULA TSELA BROAD-BASED BLACK ECONOMIC EMPOWERMENT (“B-BBEE”)
TRANSACTION AND NOTICE IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT

OMLACSA hereby notifies its debt investors that Old Mutual Limited (“Old Mutual”) has released an
announcement in respect of the distribution of a circular to shareholders relating to the
transformative B-BBEE ownership transaction named Old Mutual Bula Tsela, seSotho for “open or
pave the way” (“Transaction”), containing a notice of a general meeting of shareholders to be held by
electronic participation only at 10:00 (South African Standard Time) on Friday, 12 August 2022.

Old Mutual is the guarantor of OMLACSA OML11, OML12, OML13 and OML14 debt instruments.
