APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND
CHANGE OF BOARD COMMITTEE MEMBER

Clicks Group is pleased to announce the appointment of Nomgando Matyumza
as an independent non-executive director with effect from 1 September 2022.
She has also been appointed to the group’s audit and risk committee.

Ms Matyumza (59) is a chartered accountant who has held senior financial
management and executive positions in the private and public sectors. She holds
B Com, B Compt (Hons) and LLB degrees.

She is an independent non-executive director of Standard Bank Group and
Standard Bank South Africa, Sasol and Volkswagen (South Africa) and serves on
a number of board committees across these companies. Her previous
directorships include the Council for Medical Schemes (deputy chairperson),
Hulamin, WBHO, Transnet and Ithala Development Finance Corporation. She is
an ordained minister of the African Methodist Episcopal Church and a member of
its Presiding Elders Council.

Clicks Group chairman David Nurek said: “Ms Matyumza is a highly experienced

benefiting from her broad commercial experience in accounting, finance and
corporate governance and believe she will add considerable value to our
boardroom debate.”

The Clicks Group board will now comprise eight independent non-executive
directors and two executive directors, with 60% black and 40% female
representation on the board.

Following the appointment of Ms Matyumza to the audit and risk committee,
independent non-executive director David Nurek will stand down as a member of
the committee with effect from 31 August 2022. As advised to shareholders on
SENS on 18 March 2022, Mr Nurek agreed to serve on the committee on an
interim basis until an additional non-executive director was appointed to the
board who is suitably qualified to serve on the committee.
