CASH PAYMENT IN RESPECT OF FRACTIONAL ENTITLEMENTS FOR THE DISTRIBUTION BY
RESILIENT OF SHARES IN LIGHTHOUSE PROPERTIES P.L.C.


Shareholders are referred to the SENS announcement published on 26 April 2022 in respect of the distribution by
Resilient of Lighthouse Properties p.l.c. (“Lighthouse”) shares at a ratio of 0,48000 Lighthouse shares for every one
Resilient share held (the “Distribution”) at the close of business on Friday, 20 May 2022 (the “Record Date”).

In implementing the Distribution, Resilient is required by the JSE to apply the JSE’s rounding principle. As such, if a
Resilient shareholder becomes entitled to a fraction of a Lighthouse share arising from the Distribution (“Fractional
Entitlement”), such Lighthouse share will be rounded down to the nearest whole number, resulting in the allocation of
whole Lighthouse shares and a cash payment for the fraction (the “Cash Payment”).

Resilient shareholders are advised that the value of a Lighthouse share to be utilised in determining the Cash Payment
due to a shareholder in respect of any Fractional Entitlement is R7,27915, determined with reference to the volume-
weighted average traded price of Lighthouse shares on the JSE on Wednesday, 18 May 2022, being R8,08794 discounted
by 10%.

By way of example, if a shareholder holds 101 Resilient shares on the Record Date, such shareholder would (but for
rounding) receive 48,48 Lighthouse shares pursuant to the Distribution. Applying the rounding principle detailed above,
the shareholder will receive 48 Lighthouse shares and receive a cash payment in respect of the Fractional Entitlement of
R3,49399, being R7,27915 x 0,48 (rounded to 5 decimal places).

The salient dates and times announced on 26 April 2022 remain unchanged.
