DEALINGS IN SECURITIES BY AN ASSOCIATE
Vista Treasury Proprietary Limited (“Vista“), an associate company of Mr. PJ Erasmus,
subscribed for 12 060 000 000 ordinary shares in the issue share capital of Business Venture
Investments No 1499 Proprietary Limited (“BVI”) for a total consideration of R482 400 000 (“the
Subscription Price”). Vista discharged the Subscription Price by the transfer of 20 000 000
Pepkor Shares to BVI at a price of R24.12 per share (“the BVI Acquisition”). Following the BVI
Acquisition, Vista will be the controlling shareholder of BVI and Vista’s indirect interest in the
Pepkor Shares will remain unchanged.
In compliance with paragraphs 3.63 to 3.74 of the JSE Limited (“JSE”) Listings Requirements
and paragraphs 6.45 to 6.56 of the JSE Debt and Specialist Securities Listings Requirements,
