NOTICE OF CHANGE IN BENEFICIAL INTEREST IN TRANSACTION CAPITAL

In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 (as amended) (“the Act”), and
paragraph 3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby advised that the
Company received formal notification that Royal Bafokeng Resources Holdings Proprietary Limited, a
wholly owned subsidiary of Royal Bafokeng Holdings Proprietary Limited (“RBH”), has acquired a further
interest in the ordinary shares of the Company. The total interest in the ordinary shares of Transaction
Capital held by RBH now amounts to 5.08% (an increase from 3.38% previously held) of the total issued
ordinary shares of the Company.

RBH participated in Transaction Capital’s accelerated bookbuild which was launched and concluded on 8
September 2022 (the details of which are set out in the announcements released on the Stock Exchange
News Service of the JSE Limited on 8 September and 9 September 2022). This increase in shareholding will
strengthen the long-term strategic relationship between RBH and Transaction Capital. RBH strives to
continually improve the economic wellbeing and quality of life of the Royal Bafokeng Nation community by
investing in businesses that will generate exceptional returns over the long term, thus enabling it to
contribute directly to the upliftment of the Royal Bafokeng Nation community, both today and into the
future.

As required in terms of section 122(3)(a) of the Act, the Company has filed the required notices with the
Takeover Regulation Panel and to the best of its knowledge and belief, the information supplied by RBH is
complete and consistent.
