                                 DISPOSAL OF SHARE IN PROPERTY



Shareholders are advised that L2D and Liberty Group Limited have disposed of their combined 50%
undivided share in the Standard Bank Head Office, 5 Simmons Street Johannesburg which, as set out
in L2D’s interim results for the six months ended 30 June 2022 had been classified as a non-current
asset held for sale, to Mpande Property Fund General Partner Proprietary Limited. The transfer was
registered in the Johannesburg Deeds Office on 15 September 2022. L2D's share of the sale proceeds
is R153,067,500.07 net of commission.

Due to its relative size, the disposal falls below the threshold of a categorised transaction in terms of the
Listings Requirements of the JSE Limited and its announcement is therefore voluntary.
