UPDATE TO THE INFORMATION STATEMENT

Pursuant to paragraphs 4.10 and 6.21 of the JSE Debt and Specialist Securities Listings
Requirements, Pepkor advises noteholders that the Information Statement incorporated by
reference in Pepkor’s ZAR 10 billion Domestic Medium Term Note Programme ("DMTN
Programme") has been updated. The updated Information Statement dated 19 January 2026 is
available for inspection through a secure electronic manner at the election of the person
requesting inspection and on the Pepkor website at: https://www.pepkor.co.za/investor-
relations/debt-investors/

The updates to the Information Statement relate primarily to the sections dealing with:
1. Investor considerations/risk factors
2. Organisational structure of Pepkor Holdings Limited
3. Business description of Pepkor Holdings Limited specifically:
    o Business Overview
    o Experience of the board of directors
    o Litigation statement
4. Description of Guarantor(s)
5. List of Directorships


AVAILABILITY OF GUARANTOR’S ANNUAL FINANCIAL STATEMENTS

Noteholders are further advised that the annual financial statements for the year ended 30
September 2025 of Pepkor Trading Proprietary Limited (“Guarantor’s AFS”), the guarantor to the
Company’s DMTN Programme, are available for inspection at the registered office of Pepkor.

Noteholders are further advised that the audit report issued on the Guarantor’s AFS was
unqualified.
