UPDATE: EXTENSION OF APPOINTMENT OF INTERIM CHIEF FINANCIAL OFFICER
Shareholders are referred to the SENS announcement published on 4 May 2022
wherein shareholders were advised that following the resignation of Mr Hanre
Rossouw as chief financial officer (“CFO”) and executive director of the
Company, the board of directors of the Company (the “Board”) resolved to appoint
Ms Rotshidzwa Manenzhe, a prescribed officer of the Company, as Interim CFO for
a period of 6 months from 3 April 2022 (“Interim Period”.
As announced on SENS through various announcements, the Company has been
involved in a mandatory offer process with Impala Platinum Holdings Limited
(“Implats”) (the “Implats Offer”). The Implats Offer is currently still open and
remains subject to receipt of Competition Tribunal approval. In this regard,
shareholders are referred to the Implats announcements published on SENS on 6
September 2022 and 15 September 2022, wherein RBPlat shareholders were advised,
inter alia, that the current long-stop date of 26 September 2022 for the
fulfilment of the Conditions Precedent relating to the offer would no longer be
achieved and that the long-stop date has been extended to 22 November 2022.
Due to the ongoing Implats Offer the Board has decided to pause the appointment
of a full-time CFO and executive director until the conclusion of the Implats
Offer and the Board has clarity on the direction of the Company. The Board,
together with the audit and risk committee, having considered the requirements
of the Company with regards to its financial director, as well as Ms Manenzhe’s
knowledge and experience with the Group’s financial requirements, has extended
the period during which Ms Manenzhe fulfils the role of interim CFO by three
months to 31 December 2022. The Company has obtained formal dispensation from
the JSE in this regard.

executive director will be published in due course.
