York Timber Holdings Limited Incorporated in the Republic of South Africa (Registration number 1916/004890/06) Share code: YRK ISIN: ZAE000133450 (“York” or the “Company”) APPOINTMENT OF CHIEF FINANCIAL OFFICER AND RESIGNATION OF EXTERNAL AUDITOR In compliance with paragraph 3.59(a) of the JSE Limited Listings Requirements, the board of directors of the Company (“Board”) wishes to advise York shareholders (“Shareholders”) that Mr Schalk Barnard has been appointed as chief financial officer of York (“CFO”), effective within the next six months, which effective date will be communicated to Shareholders once determined. Mr Barnard is a qualified Chartered Accountant (South Africa, Australia and New Zealand), registered auditor and JSE Limited Accredited Audit Partner, with a Bachelor of Accounting Sciences in Financial Accounting (Hons) degree from the University of South Africa and a Certification in the Theory of Accounting from the University of Cape Town. Mr Barnard also holds Executive Leadership and Professional Services Leadership Diplomas from Harvard Business School. Mr Barnard’s previous experience includes heading up Ernst & Young’s Growth Markets Practice across Oceania and later holding the position of Business Development Leader Africa, Ernst & Young. He served as York’s external audit partner, representing PricewaterhouseCoopers Incorporated (“PwC”) in his capacity as the Africa Family Business Leader, since 2019, and has accordingly resigned from PwC. As a result of Mr Barnard’s appointment as CFO, PwC’s continued appointment as York’s external auditor would contravene the Independent Regulatory Board for Auditors’ rules and regulations in respect of independence. In the circumstances, Shareholders are hereby further advised that PWC has resigned as the external auditor of the Company with immediate effect. York will commence the process of appointing a new external auditor and York Shareholders will be advised once an appointment has been made. The Board would like to extend its appreciation to PwC for their service and welcomes Mr Barnard to the Company and looks forward to his contribution to the Company.
