RENERGEN LIMITED Incorporated in the Republic of South Africa (Registration number: 2014/195093/06) JSE Share code: REN A2X Share code: REN ISIN: ZAE000202610 Australian Business Number (ABN): 93 998 352 675 ASX Share code: RLT (“Renergen” or “the Company”) SUCCESSFUL CAPITAL RAISE Renergen is pleased to announce the successful placement of an aggregate of 4 365 670 shares, which placement was well supported by investors in Australia, New Zealand and South Africa. 2 336 449 CHESS Depository Interests (linked to an equal number of new ordinary shares) were placed at A$2.14 per security, as well as 2 029 221 new ordinary shares at R24.64 per security, raising a total of R107.6 million (the “Placement”), representing a 10% discount to the 30-day volume weighted average traded price of Renergen shares (“VWAP”). The Placement will be settled on 28 November 2022. The Placement was made within the ASX Listing Rule 7.1 capacity, the proceeds of which will be used by the Company towards working capital, additional costs relating to the studies required for the further development of Phase 2 of the Virginia Gas Project and costs associated with the turning on of the Phase 1 liquid helium plant. Including the Placement, in aggregate, Renergen has issued 8 279 180 shares under its general authority to issue shares for cash, which was approved by shareholders at the Company’s annual general meeting held on 17 June 2022 (“General Authority”). The 8 279 180 shares, which equates to 6.38% of the issued share capital of the Company at the date of approval of the General Authority, were issued at a 10% discount to the VWAP prior to the dates that the respective issuances were agreed in writing between Renergen and the parties subscribing for the securities.
