Allotment of 2018 Long Term Incentive Plan Shares and notification of a transaction by a Person
Discharging Managerial Responsibilities ("PDMR")
Further to the announcement published on 18 July 2022, Sirius Real Estate announces that awards
granted on 14 June 2019 under the Sirius Real Estate Limited 2018 Long-Term Incentive Plan
(the “2018 LTIP”), which vested on 13 May 2022, were exercised on 22 November 2022, in respect of
the remaining 1,531,361 ordinary shares of no par value in the Company.
811,621 shares are now due to be delivered to satisfy the remaining award and a further 719,740
shares have been withheld in settlement of the participant’s tax liability arising in respect of the
vesting. Accordingly, 811,621 ordinary shares of no par value will be issued to the participant.
Disclosure of the award made to the Person Discharging Managerial Responsibilities (“PDMR”) is
detailed below. The participant award will be made up of an issue of 811,621 new ordinary shares of
no par value in the Company.
Following the issue of the new ordinary shares, the total number of voting rights in the Company will
be 1,175,863,985. There are no shares held in Treasury.
Application has been made for the new ordinary shares to be admitted to trading on the main market
of London Stock Exchange Plc (“LSE”), to be admitted to listing on the premium segment of the Official
List of the Financial Conduct Authority and to be listed on the main board of the JSE Limited (“JSE”). It
is expected that admission of the new ordinary shares will take place at commencement of trade on
both the LSE at 8.00am (GMT) and on the JSE at 9.00am (SAST), on or around 30 November 2022.
