DECLARATION OF A SPECIAL ORDINARY DIVIDEND


Notice is hereby given that a special ordinary dividend of 55.90000 cents per ordinary share
has been declared to shareholders as a cash return of 25% of the consideration received from
the sale of Grindrod Bank Limited which was successfully concluded on 1 November 2022.
The special ordinary dividend is 44.72000 cents per ordinary share for shareholders who are
not exempt from dividend tax.


The special ordinary dividend has been declared out of income reserves and is subject to
exchange control approval by the South African Reserve Bank. A further announcement will
be released once such approval has been obtained.


As at the date of this announcement, there were 698 031 586 ordinary shares in issue.

The salient dates for the special ordinary dividend are as follows:

No dematerialisation or rematerialisation of ordinary shares will be allowed for the period
Tuesday, 13 December 2022 to Thursday, 15 December 2022, both days inclusive.


The local dividend tax rate is 20% and Grindrod’s tax reference number is 9435/490/71/0. The
special ordinary dividend is declared in the currency of the Republic of South Africa.
