DEALINGS IN SECURITIES BY A DIRECTOR


Shareholders are referred to the SENS announcement dated 3 July 2023 in which executive directors of Aveng
Limited were granted and accepted Long-Term Incentive Plan Performance shares (“LTIP”) in an off-market
transaction on 29 June 2023, which included 936,900 shares granted to and accepted by Sean Flanagan
(“Sean”).
On 1 March 2024, 650,255 shares of the 936,900 shares vested for Sean following his early retirement at zero
cost. The remaining 286,645 shares have been forfeited. Sean has elected to dispose of the 650,255 shares
(“Sale”) but continues as a significant shareholder, holding 1 610 655 shares, representing 1.27% of the issued
share capital of the Company. The vesting and delivery of awards occurred off-market and the Sale occurred on-
market following vesting.
In compliance with paragraphs 3.63 to 3.74 of the JSE Limited Listings Requirements (“JSE Listings
Requirements”), shareholders are advised of the following information relating to the Sale:
