Issue of equity and voting rights

Further to the announcement released on 31 March 2022, Tharisa announces that application has been
made to the Johannesburg Stock Exchange (JSE), the Financial Conduct Authority (FCA) and the London
Stock Exchange (LSE) for the listing and admission of 13 693 000 new ordinary shares to the official list
and to trading on the main market of the JSE and the LSE. Admission of the shares is expected to occur
on 8 April 2022.

Following admission, Tharisa will have 299 388 187 ordinary shares in issue, of which 296 053 255 shares
will have voting rights. Tharisa currently holds 3 334 932 shares in treasury to make provision for the
potential requirement to allot shares to participants in the Tharisa Share Award Plan exercising vested
Appreciation Rights.

Therefore, the total of 296 053 255 ordinary shares may be used by shareholders as the denominator
for the calculations by which they will determine whether they are required to notify their interest in, or
a change to their interest in, Tharisa under the FCA's Disclosure and Transparency Rules.
